What are by-laws? 

Owl is incorporated under the Canada Not-For-Profit Corporations Act. The by-laws are the procedural and technical rules of the corporation that describe how its affairs are to be conducted. In other words, how the general business of the corporation is to be carried out. The by-laws often include:

  1. The procedures to be followed when making certain decisions (example: electing the board of directors).
  2. The duties and responsibilities of the officers and directors (e.g., Chair, Secretary).
  3. General housekeeping matters including such things as when meetings are held, voting procedures, books and record of the corporation.
