Thank you to all who attended Owl's Annual General Meeting (AGM) on April 11, 2017 for the fiscal year ending December 31, 2016. Your support means a lot.

Proposal to Change Owl's Incorporation

Since its inception in 1981, the April 11, 2017 AGM was the 3rd most significant meeting of Owl members due to a proposal by the Board to shift Owl's incorporation from the provincial jurisdiction to the federal jurisdiction under Canada's Not-for-Profit Corporations Act.

In 2011, both the Canada's Not-for-Profit Corporations Act (CNCA) and Ontario Not-for-Profit Corporations Act (ONCA) were introduced. These Acts are designed to increase transparency and accountability and to provide organizations with more modern governance principles as well as conferring certain rights to members. In 2012, Owl's Board of Directors struck a task group to review the legislation, Owl's existing incorporation documents and to lead the transition to the new Ontario legislation. In 2014, with the ONCA no closer to being in force, the task group was put on hold. In January 2016, with Ontario indicating that the ONCA was on hold indefinitely, the board directed the task group to begin again, this time to lead a transition to the federal legislation, Canada's Not-for-Profit Corporations Act.

On March 7, 2017, the Board approved the Articles of Continuance - Import by a special resolution. It also approved- in principle, a new General Operating By-Law No. 1. These documents now required approval from the members before they can be submitted to the government for approval.
